Marie Francesca Luz Olalia dela Cruz

Founding and Managing Counsel

With almost two decades of experience, Francesca has established herself as an emerging luminary in tax and commercial law practice within the Philippines and the Southeast Asian region. Prior to founding Olalia dela Cruz Law, she served as an associate at Salvador and Associates, a member of Taxand; as a tax manager at SGV & Co., a member of Ernst and Young (EY); and as a Court Attorney at the Court of Tax Appeals.

Francesca has handled tax litigation cases before the Court of Tax Appeals and the Supreme Court that have led to the invalidation, nullification, and cancellation of numerous tax assessments collectively amounting to billions of Philippine pesos. Some of the decisions in the cases she handled, particularly tax refunds before the Supreme Court, remain landmark cases often cited by tax practitioners, lecturers, and professors up to this day.

At the administrative level, Francesca is highly experienced in successfully reducing tax assessments, including the preparation of position papers, protests, requests for reconsiderations, and tax reconciliation of working papers with the Bureau of Internal Revenue. Additionally, she secured favorable rulings and opinions regarding the estate of prominent businessmen and mergers and acquisitions of some of the country’s biggest corporations.

Francesca is tireless and responsive and works across multiple time zones. She also serves as a lecturer on tax-related matters of the Mandatory Continuing Legal Education for lawyers; as a general counsel for Asia of two of the largest Information Technology – Business Process Outsourcing (IT – BPO) companies in the world; as a tax counsel of three of the biggest construction and real estate companies in the Philippines; and a tax consultant for numerous professional organizations, non-governmental organizations, and other law firms.

Aside from her extensive tax and commercial law experience, Francesca also boasts impressive credentials in emerging practice areas of law, particularly intellectual property law and alternative dispute resolution. She achieved a dual degree of Juris Doctor and a Master in Business Administration from De La Salle University and Far Eastern University, with electives in international intellectual property law and international negotiation at Syracuse University.

Warlie Zambales Diaz

Junior Associate
Warlie primarily handles tax, commercial, and real estate litigation cases. He also handles labor and employment, criminal prosecution and defense, estate, intellectual property, data privacy, transportation and maritime, immigration cases, and special cases, including but not limited to registration, expansion, and tax incentive applications before Investment Promotion Agencies, primarily, the Philippine Economic Zone Authority and the Board of Investments.

With his insatiable thirst for knowledge and ability to develop a deep grasp primarily of emerging practice areas of law and industry, Warlie is also a trained Data Protection Officer and accredited by the National Privacy Commission under its Data Protection Officer – Accountability, Compliance, and Ethics (DPO ACE) Program Level 1 Certification; a trained negotiator, arbitrator, and mediator; and a certified Fintech Professional.

Prior to becoming a lawyer, Warlie had served as a business development lead, grants consultant, and marketing lead for various blockchain and FinTech startups, specifically decentralized finance (DeFi) and Ethereum scaling solution projects. He remotely led teams of blockchain professionals across different time zones in developing strategies, driving ecosystem growth, and analyzing the feasibility of proposed projects.

Warlie earned his Juris Doctor degree from the University of San Agustin in 2021 and was admitted to the Philippine Bar the following year. In law school, he represented his university in various moot court competitions, particularly the Monroe E. Price Media Law Moot Court Competition in Beijing, China, and the Asia-Pacific Moot Court Competition on Trademark and Unfair Competition Law in Singapore.

Warlie graduated with his pre-law degree of Bachelor of Science in Marine Transportation and is a licensed navigation officer. He circumnavigated the world onboard a Norwegian-flagged oceangoing vessel at the age of 18. He also represented his university in the Japan – East Asia Network of Exchange for Students and Youths (JENESYS), Philippine Model Congress (PMC), Denso Youth for Earth Action (DYEA) and won several awards in national and regional journalism and essay writing competitions.

Nathalie Adeline Fernando

Junior Associate
Nathalie mainly handles tax assessments, regulatory compliance matters, and tax litigation cases. She also handles commercial, labor and employment, estate, and special cases, including but not limited to expansion, tax incentive availment, and income tax holiday validation before Investment Promotion Agencies, primarily the Philippine Economic Zone Authority and the Board of Investments.

Armed with unparalleled attention to detail and formidable negotiation acumen, Nathalie remarkably reconciled a staggering preliminary tax assessment of a billion Philippine pesos and astoundingly reduced it to just a little over half a million Philippine pesos. She has also advised and represented clients in a wide range of tax matters, including tax refund applications, wealth and estate planning, and tax treaty relief applications.

Nathalie obtained her Juris Doctor degree from the Ateneo de Manila University, with a specialization in the field of International Law. She was a Dean’s Lister, and she interned at the International Tax Affairs Division (ITAD) of the Bureau of Internal Revenue. She also wrote a thesis on Political Law entitled “Fund Security During Calamity: Safeguard of Calamity Funds Against Abuse of Public Officers.”

Nathalie graduated with her pre-law degree in Business Management at the De La Salle University Manila. Her global business perspective was enriched and solidified during her tenure as an exchange student in Lille, France, where she delved into International Business, Operations Management, and Human Resource Management. She is also knowledgeable and fluent in basic conversational Nihongo (Japanese) and Korean.

Jezreel Joseph De Leon Sy

Junior Associate
Jezreel mainly handles tax assessments, corporate governance, restructuring, housekeeping, and regulatory compliance matters. He also handles labor and employment, tax advisory and litigation, estate planning, criminal prosecution and defense, real estate, and special cases including but not limited to tax refund applications, debt and asset recovery, joint ventures, mergers and acquisitions, and foreign investments.

Whether it is combing through extensive contracts or analyzing financial data and voluminous documents, Jezreel has an unparalleled dedication to precision, accuracy, and thoroughness. The sheer volume of documents that many might find daunting is where Jezreel truly shines. He possesses the tenacity to sift through pages upon pages without missing a beat, always ensuring that no detail, however minute, escapes his notice.

Prior to becoming a lawyer, Jezreel served in the management of their family-owned company. This experience not only honed his leadership skills but also provided him with a unique vantage point, particularly understanding the intricacies of running a business, from daily operations and employee management to financial planning, strategic decision-making, and achieving satisfactory customer experience.

Jezreel obtained his Juris Doctor degree from San Beda College Alabang and his pre-law degree of Bachelor of Science in Philosophy and Legal Management at the De La Salle University – Manila.

She has a wealth of experience and a proven track record in handling various tasks ranging from schedule coordination to correspondence management.

Beyond her professional commitments, Judy cherishes her weekends as invaluable moments dedicated to strengthening familial bonds. She indulges herself in two of her passions – cooking and singing. Melanie A. Silvestre

Senior Accounting Officer

Melanie is a dedicated and results-oriented accounting professional with over fifteen years of experience streamlining financial processes and driving cost savings for diverse corporations. Currently, she serves as the Senior Accounting Officer of Olalia dela Cruz Law, managing a spectrum of financial transactions for the Firm and its clients.

After graduating with a degree of Bachelor of Science in Accountancy, she embarked on her career as a Disbursement Officer at Integrated Systems Services and Equipment Corporation, a prominent banking solutions company. After a four-year tenure, she transitioned to Aboitiz Transport System Corporation, serving as a Passage Auditor and progressing to the role of Finance Analyst. During her seven-year tenure, she finely honed her skills in compliance and accountability audits, consistently providing valuable recommendations to auditees.

In her seven-year tenure as a Senior Accounting Officer at Via Egencia Philippines, Incorporated, a global marine travel agency and part of the largest B2B travel company, Melanie assisted in the management of global communications with partner branches and provided crucial data analyses and solutions. Additionally, she served as an Accountant at Uno Adventure Holidays, Incorporated, further diversifying her experience.

Beyond her demanding professional commitments, Melanie finds solace in exploring the world, driven by her aspiration to visit all UNESCO heritage sites. Outside of her professional pursuits, she is an avid orchid enthusiast and a dedicated fur parent to four rescued cats.
